Terms & Conditions
W-Forge Studio — Website Development Services
Effective date: October 20, 2026
1. Introduction
Welcome to W-Forge Studio.
These Terms & Conditions explain how we provide website development and customization services, how projects are agreed upon, and what our clients can expect throughout the process.
Our goal is to make website development clear, collaborative, and predictable, with transparent pricing, well-defined responsibilities, and professional communication.
W-Forge Studio operates from Spain. Our business identification and contact information are available in our Legal Notice.
By entering into a Service Agreement that incorporates these Terms, the Customer agrees to the applicable conditions of our services.
2. Scope of These Terms
These Terms apply to website development, customization, and related services provided directly by W-Forge Studio.
Our standard website development service is based on an existing WordPress design, which is adapted to the Customer's business, branding, content, and approved project requirements.
Additional services, referred to as Extensions, may be included where separately agreed.
Purchases of standalone, ready-made templates through external marketplaces are subject to the applicable marketplace terms, product licenses, and consumer protection requirements. They are separate from our website development service unless expressly included in a signed Service Agreement.
3. Project Enquiries and Orders
Customers can explore available website designs and services and prepare a project request using our website.
Submitting a project request does not constitute a purchase, create a payment obligation, or require W-Forge Studio to accept the project.
After receiving a request, our team reviews the proposed requirements and communicates with the Customer to clarify the project.
Before development begins, the parties agree on:
These details are documented in the Project Scope / Service Agreement.
W-Forge Studio may decline a proposed project before entering into an agreement where the requested work is outside our capabilities, professional standards, or applicable legal requirements.
4. Service Agreement and Contract Formation
Every website development project requires a written Service Agreement incorporating an approved Project Scope.
The agreement is completed using a designated electronic signature service.
A project becomes contractually binding when the required agreement has been validly executed by the parties.
Payment instructions are provided only after the agreement has been completed.
Development begins after the applicable initial payment has been received and other agreed starting conditions have been satisfied.
The Customer has an opportunity to review the project details and request corrections before signing.
The agreement and its associated terms are retained as an electronic record, and a copy is made available to the Customer.
The standard contracting language is English.
Where a signed Service Agreement contains specific project terms that differ from these general Terms, the specifically agreed provisions govern that project, subject to applicable mandatory law.
5. Website Development Services
Our standard development service includes the customization of the existing pages of the selected W-Forge Studio website design, within the approved Project Scope.
Customization may include:
The selected design provides a flexible starting point rather than a fixed layout that the Customer must reproduce exactly.
Adjustments to existing pages are evaluated according to the approved project requirements and the overall complexity of the agreed work.
Services that introduce genuinely additional development requirements, such as new pages, multilingual functionality, specialized integrations, or other agreed Extensions, may be priced separately.
The exact deliverables, inclusions, and exclusions are established in the signed Project Scope.
6. Customer Responsibilities
Successful development requires cooperation between W-Forge Studio and the Customer.
The Customer agrees to:
The Customer is responsible for confirming the accuracy of business information, professional qualifications, prices, claims, and other factual statements provided for publication.
W-Forge Studio may help organize and adapt this information for the website but does not independently certify the accuracy of the Customer's business representations unless such verification is expressly included in the agreed services.
If required information, access, or approvals are delayed, the project schedule may need to be adjusted. W-Forge Studio will communicate any material impact and work with the Customer to establish a reasonable revised schedule.
7. W-Forge Studio Responsibilities
W-Forge Studio agrees to perform the contracted services with reasonable professional care and attention.
Our responsibilities include:
W-Forge Studio will not introduce additional charges for changes to the agreed scope without the Customer's prior approval.
Our team will maintain professional written communication and provide reasonable information about project progress and matters requiring the Customer's attention.
8. Project Pricing and Extensions
The standard Website Development service based on an existing W-Forge Studio design is offered at a base price of $1,790 USD, excluding applicable taxes.
This includes the customization of the existing pages of the selected design and the standard services described in the approved Project Scope.
The final contract price is established before the Customer signs the Service Agreement.
Additional services may be offered as Extensions, including new pages, multilingual functionality, integrations, specialized forms, content services, or other agreed requirements.
Each Extension must have a clearly defined scope and a fixed price approved before the additional work begins.
Where a Customer selects a third-party commercial WordPress template, W-Forge Studio first reviews its suitability and the required development work.
An additional development fee may apply if the proposed work exceeds the scope of a comparable standard W-Forge Studio project. Such a fee is not automatic and may be zero.
Any applicable additional fee, required licenses, and technical dependencies are disclosed and agreed before the contract is signed.
Once the Project Scope and fixed price have been approved, W-Forge Studio will not increase the price for the agreed work unilaterally.
New requirements or material changes are discussed separately and require written approval of their scope, price, and any effect on the schedule.
9. Payments, Taxes, and Invoices
The standard payment arrangement for W-Forge Studio website development projects is 100% payment in advance.
Payment is requested only after the Service Agreement has been signed by the required parties.
An alternative payment schedule may be offered in exceptional circumstances at the sole discretion of W-Forge Studio. Any approved alternative must be expressly documented in the signed Service Agreement.
Where an alternative two-stage payment arrangement is approved:
All project prices and payment obligations are stated in USD unless the signed Service Agreement expressly provides otherwise.
Applicable taxes are determined according to the relevant tax requirements and the verified circumstances of the transaction.
The Customer may be asked to provide business identification, billing details, and other reasonably necessary information for correct tax treatment and invoicing.
Where business status is relevant to the applicable tax treatment, W-Forge Studio may request appropriate supporting information, including business registration details, tax identification numbers, or other reliable evidence of commercial or professional activity. Such information may be subject to reasonable verification.
Where the Customer's business status cannot be sufficiently verified, W-Forge Studio will not automatically apply tax treatment reserved for verified business customers.
W-Forge Studio issues invoices and other required payment documents in accordance with applicable law, including any legally required tax-currency information.
External expenses, such as hosting, domain registration, third-party licenses, and subscriptions, are not included unless expressly specified in the signed Project Scope.
No additional project payment is due for work outside the approved scope unless that work and its fixed price have first been agreed.
10. Project Communication and Timelines
W-Forge Studio uses written communication as its standard project coordination method.
This allows both parties to maintain a reliable record of project requirements, decisions, approvals, and changes.
Project communication may take place through the designated website chat, email, or other written channels agreed between the parties.
Formal contractual approvals, amendments, and Project Acceptance are completed through the required documentation and electronic signature process where applicable.
Project schedules are established according to the approved scope, the availability of required materials, and the agreed starting conditions.
A project timeline may need to be revised where:
W-Forge Studio will communicate material delays and discuss appropriate adjustments with the Customer.
Any change affecting contractual commitments will be documented and agreed as required by the Service Agreement.
11. Project Review, Revisions, and Acceptance
Before final delivery, W-Forge Studio provides the Customer with access to an appropriate preview or staging version of the website.
The Customer can review the completed work against the approved Project Scope.
The standard Website Development service includes up to three rounds of revisions within the agreed scope.
A revision round consists of one written list of related corrections or adjustments submitted by the Customer. One round may include multiple individual changes.
Included revisions may address design details, content placement, responsive presentation, or other aspects of work already covered by the approved Project Scope.
Requests introducing new pages, features, integrations, or a material expansion of the agreed work are not automatically included as revisions. Such requests are evaluated and priced separately before implementation.
Once the agreed work has been completed and the applicable review process concluded, W-Forge Studio provides a formal Project Acceptance document.
The Customer reviews and electronically signs this document through the designated electronic signature service to confirm acceptance of the agreed deliverables.
If the Customer identifies outstanding issues affecting conformity with the approved Project Scope, these should be communicated in writing so that they can be reviewed and appropriately addressed.
The mere absence of a response does not automatically constitute signed Project Acceptance.
Formal acceptance does not remove mandatory legal rights or legitimate remedies concerning defects or contractual non-conformity.
12. Website Handover and Launch
Following Project Acceptance and receipt of all payments due under the signed Service Agreement, W-Forge Studio completes the agreed website handover.
Handover may include:
The sequence of production deployment, launch, and access transfer is determined by the approved Project Scope and agreed project process.
Standard installation and launch on compatible Customer-provided WordPress hosting are included in the base Website Development service.
Unusual server configuration, complex migrations, changes of hosting provider, email migration, or other non-standard infrastructure requirements may be quoted separately when agreed in advance.
After handover, the Customer is responsible for the ongoing operation of the website, including hosting, domain renewals, software updates, backups, security maintenance, and any applicable third-party subscriptions, unless a separate maintenance or support service has been agreed.
Ongoing monitoring, updates, or website maintenance are not automatically included in the standard development service.
W-Forge Studio may consider additional support requests under separately agreed terms.
13. Website Content and Intellectual Property
The Customer retains ownership of the original content, branding, trademarks, and other materials that the Customer owns and provides for the project.
By providing those materials, the Customer authorizes W-Forge Studio to use and adapt them as reasonably necessary to perform the agreed services.
W-Forge Studio retains its rights in pre-existing templates, design systems, reusable components, methods, and other materials developed independently of a particular Customer project.
Following full payment and handover, the Customer is entitled to use, operate, maintain, and modify the delivered website for its intended purposes, subject to the applicable licenses and any specific intellectual property arrangements established in the Service Agreement.
Payment for website development does not automatically transfer exclusive ownership of W-Forge Studio's pre-existing templates, reusable software, or independently developed materials.
Third-party images, fonts, plugins, software, and other licensed assets remain subject to their respective license terms.
Any specifically commissioned content or creative assets requiring a distinct assignment or license will be addressed in the applicable Project Scope.
14. Third-Party Services and Technical Dependencies
Website projects may depend on services or products provided by third parties, including hosting companies, domain registrars, WordPress plugin developers, payment providers, and external software platforms.
The relevant third-party requirements, licenses, and expected expenses are identified during project planning where reasonably foreseeable.
The Customer is responsible for acquiring and maintaining any third-party services expressly assigned to the Customer in the signed Service Agreement.
W-Forge Studio does not require Elementor Pro as a standard dependency for its own base WordPress templates.
However, a selected third-party design or separately requested functionality may require additional licensed products or subscriptions, subject to prior agreement.
W-Forge Studio cannot guarantee the continuous availability, pricing, or future operation of independently managed third-party products.
Where a material dependency changes during development, the parties will discuss reasonable solutions and agree on any resulting scope or cost changes before additional work proceeds.
15. Project Cancellation and Refunds
We understand that business circumstances and project priorities may change.
The Customer may request cancellation of a project by providing written notice through an agreed communication channel.
A separate electronic signature is not required solely to communicate a cancellation request.
When cancellation is received, W-Forge Studio will review the project's status, suspend further work as appropriate, and prepare a written account of the relevant circumstances.
Depending on the applicable contract and law, the financial settlement may take into account:
No universal cancellation fee or automatic non-refundable percentage applies merely because a project has started or an advance payment has been made.
Any refund or outstanding payment is determined according to the agreed terms, the substantiated circumstances, and applicable law.
W-Forge Studio provides a written explanation of the proposed settlement. The Customer may raise questions or disagreements concerning that calculation.
Where W-Forge Studio is unable to fulfil its contractual obligations or has materially failed to perform the agreed services, the Customer retains the remedies available under the Service Agreement and applicable law.
Consumer Withdrawal Rights
Where the Customer qualifies as a consumer and mandatory law provides a right to withdraw from a distance contract, that right applies under its relevant legal conditions.
Where required, W-Forge Studio will provide the applicable withdrawal information and any required withdrawal form before contract conclusion.
Any request to begin performance during a statutory withdrawal period, and any required acknowledgment of the legal consequences of complete performance, will be obtained through the appropriate contractual process.
The exercise of a mandatory withdrawal right is not subject to the ordinary cancellation settlement provisions where those provisions would conflict with applicable consumer law.
Nothing in this section excludes or reduces mandatory consumer rights.
16. Confidentiality and Data Protection
Both parties are expected to treat non-public business information received during the project with appropriate care.
W-Forge Studio uses Customer information for the purposes of project evaluation, communication, development, administration, and fulfilment of the agreed services, subject to applicable law.
Personal information is processed in accordance with the applicable Privacy Policy and legal requirements.
Where the project involves processing personal data of website users or other individuals on behalf of the Customer, the parties will determine their respective responsibilities and establish any additional data protection arrangements required by law.
The Customer remains responsible for its own business privacy notices, website content, regulatory disclosures, and data processing activities, except for specific compliance-related services expressly included in the approved Project Scope.
Neither party is required to disclose information where disclosure would violate applicable confidentiality, privacy, or other legal obligations.
17. Customer Support and Resolution of Concerns
At W-Forge Studio, we are committed to providing a transparent, professional, and collaborative experience throughout every project.
If you have any questions or concerns regarding our services, please contact us through our designated communication channels.
We will carefully review your request and work with you toward a fair and reasonable resolution.
Any necessary corrections, cancellations, or refunds will be handled in accordance with the agreed Project Scope, these Terms & Conditions, and applicable law.
Nothing in these Terms limits any mandatory rights or remedies available to the Customer.
18. Service Expectations and Liability
W-Forge Studio is responsible for performing the agreed services with reasonable professional care and in accordance with the signed Project Scope.
Website development can involve technical dependencies and services outside the direct control of W-Forge Studio.
Unless expressly agreed, our services do not include guarantees of particular search engine rankings, visitor numbers, sales performance, or uninterrupted operation of third-party systems.
W-Forge Studio is not responsible for a Customer's independent changes to the website or for third-party failures beyond our reasonable control, except to the extent responsibility arises under the agreement or applicable law.
Any limitations of contractual responsibility apply only to the extent permitted by law.
Nothing in these Terms excludes liability that cannot legally be excluded or limits mandatory rights and remedies.
19. Applicable Law and Dispute Resolution
W-Forge Studio operates from Spain.
Unless mandatory legal provisions require otherwise, these Terms and the related Service Agreement are governed by Spanish law.
If a disagreement arises, the parties are encouraged to seek a reasonable resolution through written communication before pursuing formal proceedings.
Where a dispute cannot be resolved directly, the competent courts or other legally available procedures are determined according to applicable law.
Nothing in this section restricts mandatory consumer protections or rights that cannot lawfully be waived.
20. Updates to These Terms and Contact Information
W-Forge Studio may update these Terms & Conditions to reflect changes in its services, business practices, or applicable legal requirements.
Updated Terms will be published with an appropriate effective date.
Changes to these general Terms do not automatically amend an existing signed Service Agreement.
Any contractual changes affecting an active project require the agreement of the relevant parties where legally necessary.
Customers may contact W-Forge Studio through the official communication channels identified on the website and in the Legal Notice.
We welcome questions about these Terms and encourage Customers to seek clarification before entering into a Service Agreement.
